General Terms and Conditions of Sale

Sale of equipment, spare parts, consumables and services between professionals (B2B)

1. Scope

These general terms and conditions of sale (GTC) apply to all sales of products (surface treatment and coating equipment and machinery, spare parts, consumables) and to all services (engineering and design, integration and installation of paint lines, commissioning, maintenance and after-sales service) concluded between CREDO ENGINEERING FRANCE (the "Seller") and any professional buyer (the "Customer"), whether the order is placed via the online shop, by quotation, by email or by telephone. Any order implies unreserved acceptance of these GTC, which prevail over any other document of the Customer, in particular its general purchasing conditions.

2. Quotations and orders

Quotations issued by the Seller are valid for 30 days from their date of issue, unless otherwise stated on the quotation. An order becomes firm and final upon confirmation by the Seller or upon acceptance of the quotation by the Customer (signature, written approval or online validation). For equipment and integration projects, a down payment may be required on ordering, as specified in the quotation. The Seller reserves the right to refuse any order from a Customer with whom a payment dispute exists.

3. Prices

Prices are expressed in euros excluding taxes, ex our premises, excluding delivery costs. VAT applicable on the invoicing date is added to the price. Prices displayed on the online shop may be revised at any time; products are invoiced at the price in force on the day of the order. Services are invoiced at the price stated in the accepted quotation.

4. Delivery of products

Spare parts and consumables in stock are shipped within 48 to 72 working hours. For equipment and other items, the lead time is communicated upon order confirmation. Lead times are given for information only; a delay cannot give rise to cancellation, penalties or damages. Products travel at the recipient's risk; the Customer must check the condition of the packages upon receipt and notify the carrier of any reservations within 48 hours.

5. Services

Interventions (installation, integration, commissioning, maintenance, after-sales service) are scheduled by mutual agreement between the parties. The Customer undertakes to provide access to its facilities under safety conditions compliant with regulations and to make available the utilities required for the intervention (power, compressed air, handling equipment, as provided for in the quotation). Any additional service not included in the quotation is subject to a supplementary quotation or an amendment. Unless reservations are made in writing within 8 days of completion of the intervention, the services are deemed accepted without reservation.

6. Retention of title

The Seller retains ownership of the goods sold until full payment of the price, principal and incidentals. Risks are transferred to the Customer upon delivery.

7. Payment

Unless special conditions have been agreed, invoices are payable within 30 days of the invoice date. New customers pay their first order by credit card or before shipment. Down payments made on ordering are deducted from the price. No discount is granted for early payment. Any late payment automatically incurs late-payment penalties at an annual rate of 10.95%, which may not be lower than three times the French legal interest rate, plus a fixed recovery indemnity of 40 € (art. L441-10 of the French Commercial Code).

8. Warranty

Products are covered by the manufacturer's warranty against any defect in materials or workmanship; new equipment is covered for 12 months from delivery or commissioning, unless a different period is specified in the quotation or by the manufacturer. The warranty excludes normal wear, wear parts, and defects resulting from abnormal use, lack of maintenance, modification of the product or intervention by an unauthorised third party. Services are covered by a warranty of proper performance: the Seller remedies at its own expense any defective work reported to it in writing. The Seller's liability under the warranty is limited, at its option, to the replacement or repair of products acknowledged to be defective, or to the re-performance of the service concerned, to the exclusion of any compensation.

9. Returns and withdrawal

The Customer has 14 days from receipt of the products to request a return, whether the product is defective or not. Return requests must first be made by email to contact.fr@credo-engi.com. Returned products must be new, unmounted, complete and in their original packaging. Returns are made by postal shipment to the Seller's address; the costs and risks of return transport are borne by the Customer, except in the case of a defective product or a preparation error attributable to the Seller. No restocking fees are charged. Refunds are made no later than 14 days after receipt and inspection of the returned products, using the payment method used for the order. Exchanges are accepted under the same conditions. Services are not covered by this article.

10. Liability

The Seller's liability is limited to direct material damage caused to the Customer and resulting from a proven fault of the Seller. It is capped, all causes combined, at the amount excluding taxes of the order concerned. The Seller is not liable for indirect damage such as loss of production, loss of business, loss of profit or commercial harm. The Seller holds professional liability insurance.

11. Intellectual property

Studies, drawings, diagrams, technical documentation and software provided to the Customer remain the exclusive property of the Seller. They may not be reproduced, used for purposes other than the performance of the contract, or disclosed to third parties without the Seller's prior written consent.

12. Force majeure

The Seller is released from all obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code (in particular manufacturer supply disruption, strike, fire, natural disaster).

13. Personal data

The data collected is necessary for order processing and the business relationship. In accordance with the GDPR, the Customer has the right to access, rectify and delete its data by writing to contact.fr@credo-engi.com.

14. Governing law and jurisdiction

These GTC are governed by French law. Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the Commercial Court of Vienne (38), even in the event of multiple defendants or third-party claims.
